1. Acceptance of Terms & Scope of Agreement
Welcome to UniAccess (operated at uniaccess.net, hereinafter referred to as "UniAccess", "Company", "we", "us", or "our"). This Terms of Service Agreement ("Agreement") constitutes a legally binding contract between UniAccess and you (either an individual acting on your own behalf or an authorized representative acting on behalf of a corporation, partnership, organization, or MSP entity, hereinafter referred to as "Customer", "Subscriber", "Tenant", or "you").
By creating an account, initiating a trial, provisioning a tenant, connecting a device, executing a subscription payment, or accessing the UniAccess web console or APIs, you unconditionally agree to be bound by all terms, conditions, policies, and notices contained or referenced in this Agreement.
2. Nature of the Service: Infrastructure & Directory Provider
UniAccess operates exclusively as a Centralized Management Platform and Server Infrastructure Provider. The scope of UniAccess services encompasses:
- Centralized Directory & Rendezvous Server (`hbbs`): Facilitating peer discovery, STUN hole punching, network rendezvous, and address book directory indexing.
- Live Synchronized Address Book APIs: Secure cloud synchronization of online/offline status tags, assigned user permissions, and authorized organization device inventories.
- Multi-Tenant Organization Governance: Logical isolation of tenant workspaces, user seats, administrator roles, and tag-based access policies.
- Encrypted Relay Network Routing (`hbbr`): Operating high-throughput relay bandwidth nodes to bridge connections when direct peer-to-peer (P2P) firewalls cannot be traversed.
UniAccess is NOT an end-user remote assistance provider or managed helpdesk. UniAccess does not initiate, control, direct, view, or participate in remote control sessions between your endpoint devices and your technicians.
3. Separation of Services & Third-Party RustDesk Client Software
To establish remote connections, Customers utilize the open-source client application (the "RustDesk Client"). Customer acknowledges and agrees that the RustDesk Client is independent third-party open-source software developed, copyrighted, and maintained by Purslane Tech Pte. Ltd. and the open-source community under the GNU General Public License (GPLv3 / AGPLv3).
Complete Disclaimer of Client-Side Software Liability:
- No Warranty on Client Binaries: UniAccess makes no representations, warranties, or guarantees regarding the performance, stability, OS compatibility, or uninterrupted operation of the RustDesk Client across Windows, macOS, Linux, Android, or iOS.
- Client-Side System Interactions: UniAccess disclaims any liability for local operating system conflicts, virtual display driver errors, screen capture hook failures, clipboard interferences, or system crashes on endpoint machines.
- Actions Executed During Remote Control: All operations performed through the client software—including file transfers, script executions, registry modifications, system restarts, and remote user input—are solely directed by the Customer and its authorized technicians. UniAccess has no technical control or responsibility over actions taken during remote sessions.
4. Zero-Knowledge Cryptography & End-to-End Encryption (E2EE)
All remote desktop sessions routed through or initiated via UniAccess infrastructure use military-grade End-to-End Encryption (Curve25519 for key exchange, ChaCha20-Poly1305 and Salsa20 for symmetric stream encryption). Server identity is verified via Ed25519 cryptographic key pinning.
Consequently, UniAccess disclaims all liability for the nature, content, legality, or confidentiality of any data, files, credentials, or communications transmitted through remote sessions facilitated by our infrastructure.
5. Acceptable Use Policy (AUP) & Anti-Scam Shield
UniAccess maintains a strict Zero-Tolerance Policy against abusive, fraudulent, or malicious usage. Customer agrees to use the platform solely for legitimate, authorized internal IT management, remote workforce support, and professional MSP services.
Strictly Prohibited Activities include, but are not limited to:
- Technical Support Scams & Social Engineering: Utilizing UniAccess infrastructure or RustDesk client endpoints to impersonate banks, government bodies, software vendors, or support entities to deceive individuals.
- Unauthorized Access & Hacking: Gaining unattended or remote access to devices without explicit, verifiable authorization from the device owner.
- Malware & Ransomware Distribution: Transferring, installing, or executing malicious code, trojans, ransomware, spyware, or keyloggers.
- Cryptocurrency Mining & Resource Hijacking: Utilizing relay servers or unauthorized host endpoints for unauthorized computation or mining.
- Denial of Service (DoS): Attempting to overwhelm, flood, or disrupt UniAccess rendezvous, API, or relay infrastructure.
6. Customer Account, Tenant Security & Unattended Credentials
Customer is exclusively responsible for establishing and maintaining the security of its organizational accounts:
- Credential Strength & MFA: Customer must enforce strong, unique passwords and Multi-Factor Authentication (2FA) for all administrative and technician user accounts.
- Unattended Access Passwords: All permanent passwords configured inside the RustDesk Client for unattended workstation access are generated and held exclusively by the Customer. UniAccess does not store or escrow client device passwords.
- Technician Authorization: Customer is solely responsible for adding, revoking, and assigning permission tags to technicians. UniAccess is completely held harmless for any internal unauthorized access resulting from compromised technician credentials or improper role delegation.
7. Subscriptions, Device Quotas, Billing & 14-Day Money-Back Guarantee
UniAccess SaaS services are billed on an Annual subscription basis (or As-Agreed by Contract) in advance of service delivery:
7.1 Refund Policy & Execution:
- (a) Direct Initial Subscriptions (14-Day Guarantee): Customers who purchase an annual subscription directly without a preceding Free Trial evaluation period are entitled to an unconditional 14-Day 100% Money-Back Guarantee. To claim a refund, Customer must submit a written cancellation request from their registered administrative email to billing@uniaccess.net within fourteen (14) calendar days of the initial transaction timestamp. Upon processing, the full subscription fee is credited to the original payment method, and tenant directory/relay access is deprovisioned.
- (b) Trial-Converted Subscriptions: Subscriptions activated following or during an evaluation Free Trial period are strictly non-refundable, as the platform has already been fully evaluated, and all sales are final upon payment processing.
- (c) Annual Contract Renewals: All subsequent recurring annual subscription renewals are strictly non-refundable.
- (d) Abuse & Policy Exclusion: Any account suspended or terminated due to a violation of the Acceptable Use Policy (Section 5, including tech support scams or security abuse) immediately forfeits all refund rights.
7.2 Dispute & Chargeback Policy: Customers must contact billing@uniaccess.net to resolve any billing discrepancies. Initiating an unauthorized or fraudulent credit card chargeback constitutes a material breach of this Agreement and will result in immediate tenant suspension, device key revocation, and liability for all associated dispute fees.
8. Free Trials & Evaluation Accounts
UniAccess may offer time-limited evaluation trials (e.g., 7-Day Free Trial). Trials are limited to one (1) per verified company organization and email domain. Trial accounts are provided strictly for evaluation purposes.
Upon expiration of the trial period, if no paid subscription is activated, UniAccess reserves the right to disable relay access, revoke directory synchronization, and purge un-converted trial data after thirty (30) days.
9. Service Availability, Maintenance & Information Accuracy
UniAccess strives to maintain high reliability, throughput, and accurate technical specifications across our cloud servers and global relay clusters. However, services are provided on an "AS IS" and "AS AVAILABLE" basis.
- No Warranty of Continuous Uptime: UniAccess does not guarantee that services will be uninterrupted, error-free, or zero-latency.
- Scheduled Maintenance: UniAccess reserves the right to perform routine system upgrades, security patches, and database optimizations.
- Internet Routing & Upstream Outages: UniAccess is not responsible for relay latency, packet loss, or disconnection caused by public internet transit providers, tier-1 ISP routing disruptions, or local firewall restrictions.
10. Limitation of Liability & Dollar Liability Ceiling
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL UNIACCESS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR INFRASTRUCTURE SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER.
THIS INCLUDES, WITHOUT LIMITATION: (I) LOSS OF BUSINESS PROFITS, REVENUE, OR GOODWILL; (II) BUSINESS INTERRUPTION OR DOWNTIME; (III) LOSS, CORRUPTION, OR DISCLOSURE OF DATA; (IV) COST OF SUBSTITUTE INFRASTRUCTURE; OR (V) DAMAGES RESULTING FROM ACTIONS TAKEN BY TECHNICIANS DURING REMOTE SESSIONS.
11. Indemnification & Hold Harmless
Customer agrees to defend, indemnify, and hold harmless UniAccess, its parent, subsidiaries, officers, directors, contractors, and employees from and against any and all third-party claims, liabilities, losses, damages, judgments, fines, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
- Customer's breach of any provision of this Agreement or Acceptable Use Policy;
- Any remote access operations, data alterations, or actions executed on endpoint devices by Customer's technicians or employees;
- Any violation of applicable privacy laws, data protection regulations (e.g., GDPR, HIPAA, CCPA), or unauthorized surveillance claims resulting from Customer's device management; or
- Any fraudulent, misleading, or deceptive use of remote connections initiated by Customer or its user accounts.
12. Trademarks, Intellectual Property & Non-Affiliation
All software, APIs, database architectures, graphics, branding, and interfaces created by UniAccess are the proprietary intellectual property of UniAccess.net.
Non-Affiliation & Trademark Notice: RustDesk is an open-source software project. TeamViewer is a registered trademark of TeamViewer SE. AnyDesk is a registered trademark of AnyDesk Software GmbH. UniAccess is an independent cloud infrastructure platform and is not affiliated with, sponsored by, authorized by, or endorsed by Purslane Tech Pte. Ltd., TeamViewer SE, or AnyDesk Software GmbH.
13. Dispute Resolution, Governing Law & Class Action Waiver
This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with standard commercial laws without giving effect to any conflict of law principles.
Class Action Waiver: ALL CLAIMS AND DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS. CUSTOMER EXPRESSLY WAIVES ANY RIGHT TO COMMENCE, JOIN, OR PARTICIPATE IN ANY CLASS ACTION, REPRESENTATIVE PROCEEDING, OR COLLECTIVE ARBITRATION AGAINST UNIACCESS.
14. Modifications to Terms, Severability & Contact
UniAccess reserves the right to update or modify this Agreement periodically. Material changes will be communicated via notice on our website or by email to tenant administrators. Continued use of UniAccess infrastructure following notice constitutes acceptance of the modified Terms.
If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
